Paramount has announced it will pause its acquisition of Warner while legal challenges proceed. The $111 billion merger of Paramount and Warner Bros. Discovery is on hold, possibly for months, as two lawsuits move through court.
Court Filing and Legal Opposition
In a Friday filing in a California federal court, Paramount agreed not to take steps to acquire Warner until June 1, 2027, or five days after the lawsuits end, whichever is earlier. U.S. District Judge Araceli Martínez-Olguín issued a temporary restraining order earlier this week and has not yet signed the Friday agreement.
Paramount faces suits from 12 states and the Writers Guild of America, representing Hollywood professionals. The Democratic attorneys general and the guild allege the purchase would reduce competition and harm filmgoers, TV and news consumers, and content creators.
Financial Terms and Company Response
From Oct. 1, Paramount must pay Warner shareholders about $650 million per 90 days delayed, and $7 billion if unclosed by June 4, 2027. A spokesperson confirmed these fees are unaffected by the pause.
Paramount stated it looks forward to trial. The company said: 'Today's agreement is a significant win because the result is exactly what we have sought from the outset: a direct path to a trial based on the evidence'.
Deal Scope and External Scrutiny
The proposed deal would combine film studios, Paramount+ and HBO, cable channels, CBS and CNN. It faces outside scrutiny over the Paramount controlling family's ties to President Trump, with two newsrooms under family control.
Oracle co-founder Larry Ellison, father of CEO David Ellison and Trump ally, largely funds the merger. Trump has called CNN 'fake news' and publicly mused about actions toward the network.
