Paramount has agreed to delay its merger with Warner Bros. Discovery until June 2027. The pause follows a federal court block tied to a lawsuit from twelve US states seeking to stop the $110 billion transaction entirely. The deal was approved by the Trump administration in June without changes.
Court action and state opposition
A US federal judge temporarily blocked the proposed merger after twelve states brought a lawsuit. The states raised 'serious questions' about the deal's potential to 'substantially lessen competition.' The judge stated 'the balance of equities and public interest tip sharply in favor of the Plaintiff States'.
Twelve states led by California filed the suit on July 13. The other states are Arizona, Colorado, Connecticut, Massachusetts, Minnesota, Nevada, New Jersey, New Mexico, New York, Oregon and Washington. The lawsuit argues the transaction would create a media entity harmful to the industry.
Company background and approval
Paramount was bought by Skydance last year and is now Paramount Skydance, controlled by the Ellison family, close allies of President Donald Trump. The Trump administration approved the merger with Warner Bros. Discovery on June 12 without demanding changes.
Warner Bros. Discovery is the parent company of CNN and HBO. The proposed merger is valued at $110 billion (€96.69 billion). Paramount agreed in a court filing to pause the deal until June 2027 amid the litigation.
Responses from state attorneys general
California Attorney General Rob Bonta said the states are 'eager to continue to make our case in court and celebrate another tremendous win in our effort to ensure this unlawful merger never sees the light of day.' The statement followed Friday's delay agreement.
New York Attorney General Letitia James said 'From the workers and artists who bring stories to life to the families who buy tickets at the box office, Paramount's illegal takeover of Warner Bros. is a bad deal for all those who count on a competitive entertainment industry'.
